Scalar International is an alternative investment management firm, investing in sustainable energy technologies with a focus on advanced, energy-efficient manufacturing technologies, especially new energy storage and distributed energy systems, and Electronic Vehicle Charging Infrastructure. Scalar investments are designed to generate attractive risk-adjusted returns for investors while advancing environmental and social objectives aligned with the U.N. Sustainable Development Agenda and the Paris Agreement.
To this end, Scalar is seeking corporate support on Incorporation of an Investment Adviser for its first Fund, the company shall be incorporated in Mauritius:
- in the legal form of a GBC,
- this newly formed Investment Adviser shall be aligned with Scalar’s other legal entities and include best practice governance.,
- Review of Articles of Association and the Shareholders Agreement and Employment Contracts
Note, drafts for the Articles of Association have been drafted as well as a Shareholders Agreement and can be provided as well as a briefing document on Scalar.
Scalar is issuing one RFP for registration and legal support at the same time, law firms are invited to answer the RFPs at once, while answering the quotes separately below:
- Governance and Corporate Management Structure Set Up
- Incorporation of an Investment advisor, to be incorporated in Mauritius
- Review of Articles of Association and the Shareholders Agreement. Note that the Articles of Association as well as a Shareholders Agreement have been drafted.
- Creation and/or review of Employment Contracts.
- Advisory on banking compliance documentation for account opening (KYC file)
- Application of Tax Residence Certificate (TRC)
- Application of FATCA / CRS
- Search and recruitment of Resident Directors
- Overview of all related cost (e.g., statutory incorporation fee)
- Governance and Corporate Management Structure Set Up
